1.1 Family Ties AI Ltd ("Family Ties AI", "we", "us", "our") is a company registered in England and Wales under company number 17225036.

1.3 We operate an AI-powered care companion service designed to support elderly individuals and their family members (collectively, "users", "you", "your").

2. Acceptance of These Terms

2.1 By accessing or using our website, joining our waitlist, submitting an enquiry, or participating in our beta testing programme, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").

2.2 If you do not agree with any part of these Terms, you must not use our website or services.

2.3 These Terms apply to all visitors, waitlist registrants, beta participants, and any other person who interacts with our website or services.

2.4 You must be at least 18 years of age to use our services or register on our waitlist. By using our site, you confirm you meet this requirement.

3. Our Services

3.1 Family Ties AI provides an AI-powered care companion technology platform ("the Service"), which currently includes AI companions named Sophia (for users).

3.2 The Service is currently in a pre-launch/beta phase. We are not yet accepting general public sign-ups for active use of the technology. Access is by invitation only, following an assessment and interview process.

3.3 Our website is currently used for:

  • Marketing and waitlist registration purposes
  • Providing information about our upcoming services
  • Collecting expressions of interest from potential beta participants

3.4 The Service is not a medical, clinical, emergency, or mental health service. Nothing provided through our platform, AI companions, website, or communications constitutes medical advice, clinical diagnosis, or a substitute for professional healthcare. Users must contact their GP, relevant healthcare professional, or emergency services (dial 999) where medical assistance is required.

3.5 In the event of an emergency, users should always contact 999 (emergency services) or 111 (NHS non-emergency) immediately. Family Ties AI cannot and does not provide emergency response services.

4. Beta Testing Programme

4.1 Selected users may be invited to participate in our beta testing programme. Participation is subject to a separate Beta Testing Agreement, which will be provided to candidates prior to commencement.

4.2 Beta access is free of charge. Beta participants agree that:

  • The Service is in development and may contain errors, interruptions, or limitations
  • Features, functionality, and availability of the Service may change during the beta phase. We will keep you reasonably informed of any material change to the Service's features or to how your data is processed, and we will not vary the terms of any Beta Testing Agreement you have signed except in writing agreed by both parties.
  • Participation is voluntary. Either party may end your participation at any time on 7 days' written notice, without needing to give a reason. Family Ties AI may end your participation immediately where you have breached a material term, where continued use poses a risk to the safety or wellbeing of any person, or where we are required to do so by law.
  • Feedback provided during beta testing may be used to improve the Service. Where you have signed a Beta Testing Agreement, Section 9 of that Agreement governs ownership of Feedback and assigns that Feedback to Family Ties AI Ltd.

4.3 Family Ties AI may modify, suspend, or discontinue the beta programme where we have a valid reason to do so, including for technical, safety, regulatory, or operational reasons. Where we do so, we will give you as much notice as is reasonably possible and in any event not less than 7 days' written notice, unless a shorter period is necessary to protect the safety of any person or to comply with a legal or regulatory obligation. Nothing in this clause limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law. Where you have signed a Beta Testing Agreement with us, Sections 11 and 11A of that Agreement govern termination and continuation and take precedence over this clause.

4.4 Where you have signed a Beta Testing Agreement with Family Ties AI Ltd, that Agreement governs your participation in the beta programme. If there is any inconsistency between these Terms and your signed Beta Testing Agreement, the Beta Testing Agreement prevails.

5. Pricing, Trials, and Cancellation

5.1 The Service is currently free of charge during the beta phase.

5.2 The Service begins with a free 30-day trial period. The agreement does not end when that trial period ends. Where you have signed a Beta Testing Agreement with us, that Agreement continues in force after the trial on the Selected Plan in accordance with Section 11A of that Agreement, and unless you have chosen a different plan it continues automatically on the Free Plan — at no charge, with no payment details required — until it is terminated in accordance with Section 11 of that Agreement. We will not move you onto any paid plan, and will not take any payment from you, without first providing full details of that plan (including pricing, any included allowances, and how usage is measured) and obtaining your express agreement to it.

5.3 There are no locked-in contracts. Users may cancel at any time.

5.4 No paid plans are currently offered. If and when paid plans are introduced, any refund, cancellation and cooling-off rights — including your statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 — will be set out in full at the point of subscription.

5.5 Pricing, plan details, and trial terms are subject to change. Any changes will be communicated to registered users in advance.

6. Intellectual Property

6.1 All content on the Family Ties AI website, including but not limited to text, images, logos, software, and AI systems, is owned by or licensed to Family Ties AI Ltd and is protected by applicable intellectual property laws.

6.2 You may not copy, reproduce, distribute, modify, or create derivative works from any of our content without our prior written permission.

6.3 You retain ownership of any personal content you submit to us. By submitting content, you grant Family Ties AI a limited licence to use that content solely for the purposes of providing and improving the Service.

7. Data Protection and Privacy

7.1 Family Ties AI Ltd is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

7.2 We collect and process personal data — including special category health data relating to elderly users — as set out in our Privacy Policy, which forms part of these Terms.

7.3 Our third-party technology partners, including Anthropic, Twilio, and Meta, may process certain personal data on our behalf as data processors. Appropriate data processing agreements are in place with each partner.

7.4 By using our website or registering on our waitlist, you confirm you have read and understood our Privacy Policy.

8. Cookies

8.1 Our website uses strictly necessary cookies that are required for it to function. We use analytics and other non-essential cookies only where you have given explicit consent through our cookie banner. 9. Acceptable Use

9.1 You agree not to use our website or services to:

  • Breach any applicable law or regulation
  • Transmit any harmful, offensive, or fraudulent content

  • Misrepresent your identity or provide false information
  • Use the Service in any way that could harm vulnerable users

9.2 We reserve the right to suspend or terminate access for any user who breaches this clause without notice.

10. AI — Transparency and Limitations

10.1 Family Ties AI uses artificial intelligence technology to deliver its services. Users should be aware that:

  • Interactions with Sophia are AI-generated, not human responses
  • AI systems may make errors or produce inaccurate outputs
  • The AI is designed as a companion tool only and does not replace human care, medical professionals, or emergency services

10.2 Under UK GDPR Articles 13, 14, and 22, we are required to be transparent about AI use. Where AI may assist in decision-making, users have the right to request human intervention and to challenge automated outcomes.

10.3 We are committed to operating our AI responsibly, with appropriate human oversight at all times.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, Family Ties AI Ltd shall not be liable for:

  • Any indirect, consequential, or incidental loss or damage arising from use of the Service
  • Any reliance placed on AI-generated content as a substitute for professional medical, clinical, or emergency advice
  • Any interruption, suspension, or discontinuation of the Service during the beta phase
  • Any loss of data

11.2 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11.3 Our total liability to you in connection with the Service shall not exceed the total amount paid by you to us in the 12 months prior to the event giving rise to the claim.

12. Third-Party Links and Services

12.1 Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any third-party sites.

12.2 Third-party services used within our platform (including Anthropic, Twilio, and Meta) operate under their own terms. Family Ties AI is not responsible for any act or omission of these third parties beyond what is governed by our data processing agreements with them.

13. Changes to These Terms

13.1 Family Ties AI reserves the right to update these Terms at any time.

13.2 Where changes are material, we will notify registered users by email prior to the changes taking effect.

13.3 Your continued use of the website after such changes take effect, following the notice described above, indicates your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service. The current version, with its version number and date, is always available on this page.

14. Governing Law and Jurisdiction

14.1 These Terms are governed by the laws of England and Wales.

14.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
